A written scope, a fixed price and a delivery date for every package; you own what we build for you once it is paid for; Sri Lankan law applies.

Who these terms are between

These terms apply between Simplyxity (Pvt) Ltd (“we”, “us”, “our”), a company registered in Sri Lanka under company number PV 00372502, with its registered office at Kalutara, Sri Lanka. and the business or person who engages us (“you”). They apply to every proposal we issue and every package or plan you buy from us, together with the written scope for your project. If the written scope and these terms conflict, the written scope wins for that project.

The services

We design, build and maintain websites, web applications and internal tools. Our packages (Presence, Launch, Grow and Custom) each come with a written scope that lists what is included, what is not, and the delivery date. Each package can be paid once or taken as a monthly package that includes the care plan named on it (Essentials Care or the Care Plan): hosting, security updates, monitoring and the changes described in the plan. Care plans are also available on their own. We use our own tooling, templates and third-party components to deliver the work; where a third-party component has its own licence, we tell you.

Scope, revisions and changes

The written scope is the whole of what is included in the fixed price, including the number of revision rounds. Anything beyond it is a change: we quote it in writing, you accept it in writing, and only then do we do it. Delivery dates assume you provide content, feedback and approvals when we ask for them; if they arrive late, the dates move by the same amount.

Prices and payment

Prices are in Sri Lankan rupees and exclude any taxes we are required to add. For pay-once packages, half of the price is due before work starts and the balance is due before the site goes live. Monthly packages and care plans are billed in advance each month and continue for a minimum of twelve months. Invoices are due within fourteen days. If an invoice is unpaid after that we may pause work or hosting after giving you seven days’ written notice.

Ownership and licences

Once the price for a pay-once package is paid in full, you own the design and content we created for you and we transfer the site to you on request. Under a monthly plan, you own your content at all times and gain ownership of the design once the minimum term is complete. We keep ownership of our tooling, templates and any general-purpose code we reuse across clients, and we grant you a permanent licence to use them within your site. You confirm that any content you give us is yours to use.

Monthly plans and cancellation

After the minimum term, either of us may end a monthly package or care plan with thirty days’ written notice. Pay-once packages include their first year of hosting; after that you may take Essentials Care or the Care Plan, or move the site to hosting of your choice, and we charge no renewal fee. When a plan ends we hand over your content and, where the design is owned by you, a copy of the site; hosting stops at the end of the notice period. If we end the plan for a reason other than non-payment, we give you at least sixty days and help you move.

Liability

We do the work with reasonable skill and care and fix defects in what we built without charge for thirty days after launch. We are not responsible for losses caused by content you supplied, by third-party services, or by changes you or others make to the site. Our total liability for any project or plan is limited to the fees you paid us for it in the twelve months before the claim, and we are not liable for indirect losses such as lost profit. Nothing in these terms excludes liability that cannot be excluded under Sri Lankan law.

Governing law

These terms and every engagement under them are governed by the laws of Sri Lanka, and the courts of Colombo have exclusive jurisdiction over any dispute, after we have both tried in good faith to resolve it by discussion first.
